1. Introduction
These Terms of Service ("Terms") govern your use of the Timello web application ("the Service"), operated by Timello, a sole trader business registered in England.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. The Service
Timello is a staff calendar and leave management application. It allows businesses to manage employee leave requests, track holiday allowances, and maintain a shared calendar.
3. Account Registration
- To use the Service, a business must register an account. The person who registers becomes the "master" account holder for that business.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
- Staff members are invited by their business administrator and must set a password to activate their account.
4. User Roles and Responsibilities
The Service provides three user roles:
- Master: full administrative access, including billing management, business settings, and staff management.
- Manager: calendar access with enhanced visibility settings.
- Staff: can view the calendar, submit leave requests, and manage their own profile.
Business administrators are responsible for the accounts they create and manage within their business.
5. Subscription Plans and Payment
- Timello offers free and paid subscription plans. Plan details, including pricing and staff limits, are displayed within the Service.
- Paid subscriptions are billed monthly via Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.
- All prices are in GBP and inclusive of VAT where applicable.
- If payment fails, we will notify the business master account holder(s) by email. Continued failure to pay may result in the account being downgraded or suspended.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorised access to the Service or other users' accounts.
- Interfere with or disrupt the Service or its infrastructure.
- Upload malicious content or attempt to exploit security vulnerabilities.
- Use the Service to store or transmit content that infringes any third party's rights.
We reserve the right to suspend or terminate accounts that violate these terms.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
Business administrators are responsible for ensuring they have appropriate authority to enter their staff members' personal data into the Service, and that they comply with applicable data protection laws in doing so.
8. Intellectual Property
The Service, including its design, code, logos, and content, is the property of Timello and is protected by intellectual property laws.
You retain ownership of any data you enter into the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service.
9. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We are not liable for any loss or damage resulting from Service downtime.
10. Limitation of Liability
To the fullest extent permitted by law:
- The Service is provided "as is" without warranties of any kind, whether express or implied.
- We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
- Our total liability for any claim arising from or related to the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Account Deactivation and Termination
- You may stop using the Service at any time. Business master accounts can deactivate their business from within the Service.
- We may suspend or terminate your account if you breach these Terms.
- Upon deactivation, your data is retained in a deactivated state. To request permanent deletion, contact [email protected].
- If you have an active paid subscription, deactivation will cancel your subscription at the end of the current billing period.
12. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of significant changes by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
